These Terms and Conditions (“Terms”) are Toray Advanced Materials Korea Inc. ("TAK") These are the terms and conditions for using CSMNORM, and if you do not agree to these terms, you may not use the software. BEFORE CLICKING OR INSTALLING THESE TERMS, PLEASE READ AND AGREE TO THESE TERMS.
1. License Grant
CSMNORM is the exclusive property of TAK. You are granted a license to CSMNORM on the condition that you agree to the terms and conditions. However, all applicable rights in CSMNORM's patents, copyrights, trademarks and trade secrets are not transferred to you. The rights granted to you constitute a limited license to install and operate CSMNORM on your computer workstation and are not transfer of ownership.
You are prohibited from:
1) Using, copying, modifying or distributing CSMNORM except as expressly permitted in these terms and conditions
2) Reverse engineering, decompiling, or disassembling the CSMNORM software source code or attempting to extract the source code in any way without the prior written consent of TAK.
3) Posting, renting or renting CSMNORM without Toray's prior written consent.
CSMNORM is copyrighted by TAK. You may not remove CSMNORM's copyright or other proprietary notices. Toray reserves all rights not expressly granted to you.
2. Additional software
CSMNORM installs including some components of Report Designer 5.0u OCX Viewer for report output. In the event of a conflict between the terms of these Terms and the applicable license terms of the open source software program, the applicable license terms of the open source software program shall prevail.
3. Termination
TAK reserves the right to ask you or any third party to terminate your license under these Terms at any time and remove CSMNORM from your computer and file system.
4. DISCLAIMER OF WARRANTY; LIMITATION OF REMEDIES
YOUR USE OF ANY INFORMATION OBTAINED FROM CSMNORM, THE PROGRAMS, OR SOFTWARE OBTAINED FROM ANYONE OTHER TAK WEBSITE IS AT YOUR OWN RISK. CSMNORM is provided "as is" without warranties or guarantees of any kind.
TAK is not responsible for any software downloaded onto your computer system. TAK FURTHER DISCLAIMS ALL WARRANTIES, WARRANTIES OR REPRESENTATIONS, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF PROPERTY AND INTELLECTUAL PROPERTY RIGHTS, AND OF LOSS OR DAMAGE. do.
IN NO EVENT SHALL TAK BE LIABLE TO ANY PARTY FOR ANY DAMAGES, CLAIMS OR EXPENSES OF ANY KIND INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY CONSEQUENTIAL OR PUNITIVE DAMAGES RESULTING FROM THE USE OF CSMNORM.
Data obtained using CSMNORM are results of an expected RO/NF system based on the expected average performance when using TAK standard water treatment membrane elements. Under no circumstances will such information be deemed automatically endorsed by TAK.
5. Processing of personal data
The CSMNORM program may process personal information. TAK CSMNORM complies with GDPR and related laws.
We process your personal data. You have the right to process your personal information, and TAK CSMNORM will process your personal information lawfully.
To protect your privacy, if you do not agree to the above, you may cancel the installation of the program.
6. Compliance with Laws
You agree to comply with all international and national laws applicable to CSMNORM, including the US Export Administration Regulations, economic sanctions regulations administered by the Office of Foreign Assets Control, and similar restrictions issued by any agency.
7. Governing Law and Jurisdiction
These Terms will be governed by and construed in accordance with the laws of the Republic of Korea without regard to conflict of laws principles.
The laws of the Republic of Korea apply to disputes arising from these terms and conditions, and the competent court is the Seoul Central District Court.
8. Miscellaneous
These Terms contain the entire agreement between you and Toray with respect to the subject matter hereof and supersede all prior agreements and/or understandings (whether oral or written).
Failure or delay by TAK to enforce any right or provision of this document shall not constitute a waiver of such provision or right with respect to any immediate or subsequent breach.
If any provision of these Terms is held by a court of competent jurisdiction to be unlawful, that provision will be enforced to the maximum extent permissible and the remainder of these Terms will remain in effect.
